These Terms of Service ("Terms") govern your use of StorePilot, operated by Zipf LLC ("Zipf," "we," "us"). By accessing or using the Service you agree to these Terms.
StorePilot connects to your authorized e-commerce marketplace accounts, reads operational data, and — at your direction — proposes and executes actions such as repricing, refunds and inventory or budget changes.
You must be a business (or acting on its behalf) and provide accurate information. You are responsible for your account credentials and all activity under your account.
You authorize StorePilot to access your marketplace accounts through each platform's official authorization flow. You represent that you have the right to grant this access, and you remain responsible for complying with each marketplace's own terms and policies. You may revoke access at any time.
This section is important. You expressly authorize StorePilot to take actions on your connected stores as described below:
You will not use the Service unlawfully, to violate any marketplace's policies, to circumvent security, or to process data you lack the right to process. You will not use it to move buyer personal data off-platform in violation of applicable rules.
Paid plans are billed in advance on a recurring basis and are non-refundable except as required by law or expressly stated. We may change pricing on prospective notice.
Our handling of data is described in our Privacy Policy. For data we process on your behalf, our Data Processing Agreement applies and you are the controller. You are responsible for providing any notices and obtaining any consents required from your customers.
We retain all rights in the Service. You retain all rights in your data. You grant us a limited license to process your data solely to provide the Service.
The Service is provided "as is." We do not control the marketplaces and are not responsible for their availability, actions, data accuracy, or policy changes. We do not warrant that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.
You will indemnify and hold Zipf harmless from claims arising out of your use of the Service, your data, your configured automation rules and approvals, or your violation of these Terms or any marketplace's terms.
Either party may terminate for material breach if uncured after notice, or for convenience per your plan. On termination we revoke store access and delete or return data as described in the Privacy Policy/DPA.
We may update these Terms; we will post the new effective date and, for material changes, provide notice. Continued use after changes constitutes acceptance.
These Terms are governed by the laws of the State of Virginia, United States, without regard to conflict-of-law rules. Venue lies in the courts located in Fairfax County, Virginia.
