Terms of Service
Effective date: August 8, 2026 · Contact: legal@storepilothq.com
These Terms of Service ("Terms") govern your use of StorePilot, operated by Zipf LLC ("Zipf," "we," "us"). By accessing or using the Service you agree to these Terms.
1. The Service
StorePilot connects to your authorized e-commerce marketplace accounts, reads operational data, and — at your direction — proposes and executes actions such as repricing, refunds and inventory or budget changes.
2. Accounts & eligibility
You must be a business (or acting on its behalf) and provide accurate information. You are responsible for your account credentials and all activity under your account.
3. Connected marketplace accounts
You authorize StorePilot to access your marketplace accounts through each platform's official authorization flow. You represent that you have the right to grant this access, and you remain responsible for complying with each marketplace's own terms and policies. You may revoke access at any time.
4. Authorization for automated actions
This section is important. You expressly authorize StorePilot to take actions on your connected stores as described below:
- Approval-gated by default. Any action that spends money or modifies a live listing (including repricing, refunds, cancellations and advertising changes) requires your explicit approval before it executes. The default autonomous spend limit is $0.
- Optional automation rules. You may configure rules that pre-authorize certain limited actions (for example, auto-approving refunds below a threshold you set once an item is returned). Where you enable such rules, you authorize StorePilot to act within them, and you are responsible for the parameters you set.
- Your responsibility for approvals. Approving an action — directly or via a rule you configured — constitutes your authorization of that action and its effects. You are responsible for reviewing proposed actions before approving them.
- Audit trail. We log each action and approval. Automated systems can err; you are responsible for monitoring your stores and the actions taken.
5. Acceptable use
You will not use the Service unlawfully, to violate any marketplace's policies, to circumvent security, or to process data you lack the right to process. You will not use it to move buyer personal data off-platform in violation of applicable rules.
6. Fees & billing
The StorePilot Standard plan is $99 every 30 days or $999 per year after a 3-day free trial. Shopify processes and collects the selected subscription through Shopify App Pricing. StorePilot does not separately invoice app fees, and there are no setup or usage-based charges. The subscription renews at the selected interval until canceled. Charges are non-refundable except as required by law or expressly stated. Any future pricing change will be disclosed prospectively through Shopify and will follow Shopify's required merchant-approval process.
7. Data
Our handling of data is described in our Privacy Policy. For data we process on your behalf, our Data Processing Agreement applies and you are the controller. You are responsible for providing any notices and obtaining any consents required from your customers.
8. Intellectual property
We retain all rights in the Service. You retain all rights in your data. You grant us a limited license to process your data solely to provide the Service.
9. Disclaimers
The Service is provided "as is." We do not control the marketplaces and are not responsible for their availability, actions, data accuracy, or policy changes. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You will indemnify and hold Zipf harmless from claims arising out of your use of the Service, your data, your configured automation rules and approvals, or your violation of these Terms or any marketplace's terms.
12. Term & termination
Either party may terminate for material breach if uncured after notice, or for convenience per your plan. On termination we revoke store access and delete or return data as described in the Privacy Policy/DPA.
13. Changes
We may update these Terms; we will post the new effective date and, for material changes, provide notice. Continued use after changes constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of Virginia, United States, without regard to conflict-of-law rules. Venue lies in the courts located in Fairfax County, Virginia.
